weBoost® Messenger Service Terms

1. Agreement
This Agreement, together with the weBoost® Privacy Policy at https://www.weboost.com/weboost-app-terms-and-conditions, is a legal agreement between you and Wilson Electronics, LLC, doing business as weBoost® ("weBoost," "we," "us," or "our"), which sets forth the terms and conditions of your use of the weBoost® Messenger product and the Service (as defined herein). You understand and agree that this Agreement is enforceable like any written, negotiated agreement signed by you.
The term of this Agreement starts when you first activate or register for the weBoost® Messenger Service, which includes the weBoost® Messenger mobile application (the "App"), the weBoost® Messenger satellite communicator device (the "Device"), and any replacement products and/or associated software (collectively, the "weBoost® Messenger Product").
2. Changes to this Agreement
weBoost® reserves the right to revise the terms of this Agreement, Service Plans, and Bundles at its discretion. weBoost® will post notice of any such changes within the weBoost® Messenger App and/or at www.weboost.com. If weBoost® makes changes that are not acceptable to you, you may terminate this Agreement without charge at any time within 30 days of such change. If you continue to use the weBoost® Messenger Product or Service after any such change, you will be deemed to have accepted the new terms in their entirety.
3. Coverage
You may use the weBoost® Messenger Product anywhere there is mobile cellular, Wi-Fi, or satellite network coverage, subject to any applicable restrictions due to export laws, local laws, licensing requirements, and regulations. Satellite coverage is provided through our satellite network partner and availability varies by region. At launch, satellite messaging services are available within the United States. The weBoost® Messenger Device may function in additional areas where satellite network coverage exists; however, weBoost® does not guarantee service availability or performance outside the United States. Coverage in additional countries may be added as the product expands. Check the App or www.weboost.com for the most current satellite coverage information. You are solely responsible for ensuring compliance with any applicable local requirements and regulations, including any restrictions on the use of satellite communication devices in the country or region where you intend to use the Product.
4. Third-Party Service Providers
The Services are provided through various communication devices and networks, including cellular networks, Wi-Fi networks, satellites and their ground stations, and SMS routing services (collectively, the "Communication Systems"). Services may become limited or temporarily unavailable without notice from time to time.
The weBoost® Messenger Product and Services utilize various third-party service providers that are not affiliated with or controlled by weBoost® (the "Third-Party Service Providers"), including but not limited to:
- Monogoto — satellite network services
- Twilio Inc. — SMS message routing and delivery
- Shopify Inc. — payment processing
- FocusPoint International — emergency response coordination
- Cellular carriers — cellular network connectivity
- Internet service providers — Wi-Fi connectivity
weBoost® does not own or control these Third-Party Service Providers and cannot be responsible for any Service interruptions associated with their systems. Satellite service is wireless and requires a clear line of sight toward the satellite; therefore, the Services are inherently subject to transmission and reception limitations caused by: (i) your location, including conditions that obstruct the line of sight; (ii) the condition of the Communication Systems; (iii) the condition of your weBoost® Messenger Product; (iv) weather conditions, atmospheric conditions, magnetic interference; and (v) other conditions beyond weBoost®"s control, including vehicle speed during satellite transmission attempts.
5. Services
You must register for a weBoost® Messenger account and purchase a Service Bundle to utilize the weBoost® Messenger Product. Collectively, all services presented in this section are referred to as the "Service" or "Services."
5.1 Messaging Service
5.2 Message Routing
The weBoost® Messenger App is designed to support lowest-cost routing for Messages, first attempting to send via Wi-Fi, then cellular network. If these networks are unavailable and you are paired to your active weBoost® Messenger Device via Bluetooth Low Energy (BLE), the App will attempt to send the Message as a Satellite Message.
Credit Usage: All Messages — whether sent via Wi-Fi, cellular, or satellite — consume message credits from your active Bundle. Messages sent via Wi-Fi or cellular network consume one (1) cellular/Wi-Fi credit per message. Messages sent via satellite consume one (1) satellite credit per message. Messages sent to recipients who do not have the weBoost® Messenger App will be delivered as SMS and will consume credits regardless of the connection method used. You may also be responsible for any charges from your wireless carrier or internet service provider.
5.3 Satellite Messaging
When Messages are sent via the satellite network ("Satellite Messages"), one (1) satellite credit is deducted per message sent. Satellite credits may be purchased as part of a Service Bundle or Add-On Message Pack within the App. Satellite Messages are transmitted via User Datagram Protocol (UDP) to weBoost®"s satellite relay servers.
5.4 SMS Delivery to Non-App Users
Messages addressed to recipients who are not weBoost® Messenger App users will be delivered via SMS through our Third-Party Service Provider, Twilio. SMS messaging to and from non-app users is currently limited to United States phone numbers. Upon activation, your weBoost® Messenger account will be assigned a dedicated US SMS phone number for sending and receiving SMS messages. Your assigned phone number is provisioned through a Third-Party Service Provider and is not owned by you. weBoost® reserves the right to change, reassign, or release phone numbers at any time due to regulatory requirements, service provider changes, or other operational needs. SMS phone numbers are reserved for your account as long as you have an active Bundle. Upon Bundle expiration, the SMS phone number will be released immediately. weBoost® cannot guarantee the same SMS phone number for future re-activations. You may pre-purchase your next Bundle before your current Bundle expires to retain your phone number without interruption.
5.5 Message Queue and Retry
If no network connectivity is available at the time of sending, Messages will be queued locally on your device (up to a maximum of 20 messages in the queue). Queued messages will automatically be sent when a connection is restored. Failed messages will be retried with exponential backoff for up to 5 additional attempts. Credits will be refunded for messages that fail after all retry attempts.
5.6 Incoming Message Filtering
The weBoost® Messenger App includes message filtering options to help you manage incoming messages and control credit usage. By default, the App is set to "Replies Only" mode, which only delivers messages from phone numbers you have previously contacted. You may adjust your message filtering preferences in the App settings. Incoming messages from unapproved senders may be held server-side and will be deleted if not approved within 7 days.
5.7 Push Notifications and Delivery Confirmations
Messages delivered to App users are sent via push notification. Delivery confirmations are available for all messages. Read receipts (if enabled by both parties) are available for messages between App users only. Read receipts are not available for SMS messages due to protocol limitations.
5.8 Software and Firmware Updates
weBoost® may from time to time release software updates for the App and firmware updates for the Device. Some updates may be mandatory and required for continued use of the Service. By using the weBoost® Messenger Product, you consent to receiving such updates. Firmware updates are delivered over-the-air (OTA) via Bluetooth Low Energy and require a Wi-Fi or cellular connection to download. weBoost® is not liable for any issues resulting from a user"s failure to install mandatory updates, interruption of an update in progress, or use of outdated software or firmware. Hardware issues resulting from failed updates are covered under the separate weBoost® product warranty.
5.9 Changes to Services
weBoost® and its Third-Party Service Providers reserve the right to make changes to the Services to comply with applicable laws, to maintain or improve the Services, or for other business reasons, without notice to you and without liability for any changes in your ability to use the Services.
6. Service Bundles and Credits
6.1 Service Bundles
Service Bundles ("Bundles") are required to use the weBoost® Messenger Service. Each Bundle includes a defined number of satellite message credits and cellular/Wi-Fi message credits, as well as a dedicated phone number and access to SOS emergency features, for a specified validity period. Current available Bundles and pricing may be found within the App or at www.weboost.com. Bundles are pay-as-you-go and do not automatically renew unless you have opted into a Subscribe & Save plan (if available).
6.2 Credits
Satellite credits and cellular/Wi-Fi credits are included in each Bundle. One (1) credit equals one (1) message. All incoming and outgoing messages consume one (1) credit of the applicable type (satellite or cellular/Wi-Fi) based on the connection used.
Credit balances never expire. When your Bundle validity period ends, any remaining credits enter a "frozen" state — they remain in your account permanently but cannot be used until you purchase a new Bundle. Upon purchasing a new Bundle, all frozen credits immediately reactivate and are added to your new Bundle"s credit balance.
6.3 Add-On Message Packs
Users with an active Bundle may purchase Add-On Message Packs at any time to supplement their existing credit balance. Add-On Message Packs are available within the App. Add-On Message Packs cannot be purchased without an active Bundle.
6.4 Credit Purchases
Credits may be purchased within the App as part of a Bundle or Add-On Message Pack. All purchases are processed through Shopify Inc. Credit purchases are non-refundable except as described in Section 5.5 (failed message refunds), Section 9.5 (satisfaction guarantee), or as required by applicable law.
6.5 Bundle Expiration
When a Bundle expires:
- Your dedicated phone number is released immediately
- Your remaining credits are saved in a "frozen" state (credits never expire)
- You cannot send or receive messages until you purchase a new Bundle
- SOS functionality is suspended until you purchase a new Bundle
- No fees are incurred while in expired/inactive state
When you purchase a new Bundle:
- Frozen credits immediately reactivate and are added to your new credit balance
- A new dedicated phone number is assigned
- Full service is restored immediately
6.6 Pre-Purchase / Bundle Queuing
You may pre-purchase your next Bundle while your current Bundle is still active. The queued Bundle will auto-activate on the day your current Bundle expires. Credits from your expiring Bundle will automatically roll over. Your phone number will be retained without interruption.
6.7 Cancellation
To deactivate your account, please visit the weBoost® Messenger App settings or contact customer support at weboost.com/support or call 866-294-1660. Since Bundles are pay- as-you-go and do not automatically renew, no cancellation is required to stop charges — simply do not purchase a new Bundle when your current one expires.
6.8 Termination by weBoost®
You agree that weBoost® may terminate this Agreement and the provision of Services to you with thirty (30) days" notice and without further liability if weBoost® determines, in its discretion, that you are in breach of this Agreement, or with shorter notice if you violate our Acceptable Use Policy as described below.
6.9 Additional Charges
Your cellular service provider and/or internet provider may charge you or your recipients additional fees in relation to any Messages and/or data used by you. You and/or your recipients are responsible for any such applicable charges and fees.
7. SMS Consent and Communications
7.1 Consent to Receive SMS
By providing your phone number within the weBoost® Messenger App, you consent to receive SMS text messages from weBoost® Messenger, including message notifications and alerts sent on behalf of other weBoost® Messenger users. Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase.
7.2 Opt-Out
You may opt out of receiving SMS notifications at any time by:
- Replying STOP to any SMS message received from your weBoost® Messenger number
- Removing your phone number from the App under Settings > Notifications
- Adjusting your notification preferences within the App
Please note that opting out of SMS notifications does not cancel your Service or prevent Messages from being delivered within the App. Messages will continue to be available in the App regardless of your SMS notification preferences.
8. Use and Misuse
8.1 Personal and Business Use Only
Your Service is for personal, recreational, or business use. Unless otherwise authorized by weBoost®, you may not rent, lease, or otherwise distribute the weBoost® Messenger Product and/or the Services without written consent from weBoost®.
8.2 Acceptable Use Policy
You agree that you will not use the Services or the weBoost® Messenger Product:
- For any purpose in violation of applicable law;
- In any manner that infringes or misappropriates third-party rights;
- In any manner that overloads or unreasonably interferes with the Services or the Communication Systems;
- To send unsolicited commercial messages (spam);
- To engage in any activity that could damage, disable, overburden, or impair the Services.
You agree to use the Services only with the weBoost® Messenger Product and not to use any other equipment in connection with the Services unless expressly approved by weBoost®. You are solely responsible for all content that you create, transmit, or display while using the Services, as well as for the consequences of your actions. Failure to adhere to these restrictions may result in termination of this Agreement by weBoost®.
8.3 Fair Use Policy
A fair use policy applies to the Services. The weBoost® Messenger Service is intended for personal safety, timely communications, and legitimate business use. If your usage grossly exceeds average typical usage patterns, weBoost® may, at its option, terminate your Service, suspend your Service, or change your Service terms. Where reasonable, weBoost® will provide you with notice of improper usage before suspension or termination.
8.4 Reverse Engineering Prohibited
You agree that you will not attempt to unlock, modify, or reverse engineer the weBoost® Messenger Product to perform additional functions, operate outside its intended networks, resell the Product to a third party, or for any purpose not permitted by this Agreement.
9. Payments
9.1 Payment for Bundles and Add-Ons
You agree to pay all applicable fees for your Bundle purchases, Add-On Message Pack purchases, and any applicable taxes, surcharges, and fees at the time of purchase. All Bundle and Add-On purchases are one-time, pay-as-you-go transactions unless you have opted into a Subscribe & Save auto-renewal plan (if available), in which case recurring charges will be billed in accordance with the terms of that plan.
9.2 Payment Processing
All payments are processed through Shopify Inc. By providing payment information, you represent that you are the authorized owner or user of your payment method and authorize weBoost® to charge that method for all applicable fees.
9.3 Non-Payment
If a payment fails or is reversed, weBoost® may suspend Services with immediate effect until the outstanding balance is resolved. For Subscribe & Save customers, failure to maintain a valid payment method may result in suspension of auto-renewal and associated Services.
9.4 Data Transmission / No Credits for Failed Delivery
weBoost® will exercise a commercially reasonable level of care but makes no representation as to the success of any data transmission. Satellite credits will be refunded for messages that fail all retry attempts as described in Section 5.5. However, credits will not be refunded for messages that are successfully transmitted from your device but fail to reach the recipient due to issues with the recipient"s carrier, email provider, or device.
9.5 Satisfaction Guarantee
weBoost® offers a 30-day satisfaction guarantee on Bundle purchases. If you are not satisfied with the Service, you may contact customer support within 30 days of your purchase for a case-by-case evaluation. Resolution options may include partial refunds, credit bonuses, bundle extensions, or full refunds in exceptional cases. SOS activations void refund eligibility, as emergency response coordination costs are incurred immediately upon activation. After 30 days, all sales are final. Hardware defects are covered under the separate weBoost® product warranty.
9.6 Taxes
If not already included in your pricing, you are responsible for sales, usage, excise, ad valorem, goods and services, or any other taxes now or hereafter imposed with respect to the Service.
10. User Account
10.1 Complete and Accurate Information
You acknowledge and accept that the information required in your weBoost® Messenger account, including your contact information and phone number, is essential for proper provision of the Services. You warrant that the information supplied by you is accurate. It is your responsibility to ensure that the information remains accurate, complete, and up to date.
10.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify weBoost® immediately of any unauthorized use of your account.
10.3 Content License from You
You agree that you are solely responsible for any content that you create, transmit, or display (the "Content") while using the Services and for the consequences of your actions. You hereby grant weBoost® a non-exclusive, royalty-free license to transmit such Content to Third-Party Service Providers for the express purpose of delivering the Service. This license does not grant weBoost® any right to use your Content for commercial purposes unrelated to the provision of the Service.
10.4 Privacy and Data Protection
weBoost® is committed to maintaining your privacy. For information on how your personal information is collected, used, and disclosed in connection with your use of the Services, please consult our Privacy Policy at https://www.weboost.com/privacy-policy.
10.5 Account Deletion
You may request deletion of your account at any time through the App settings. Account deletion will permanently remove all your data including messages, credits, transactions, profile information, and paired module associations. Account deletion is subject to a 30- day grace period, after which deletion is irreversible. weBoost® processes account deletions in compliance with applicable privacy regulations including GDPR and CCPA.
11. Using Your weBoost® Messenger Product
11.1 Familiarization
You understand and agree that it is your responsibility to familiarize yourself with the operation of the weBoost® Messenger Product, including reading any user guides and documentation available at www.weboost.com.
11.2 Satellite Module
The weBoost® Messenger Device connects to the App via Bluetooth Low Energy (BLE). Satellite messaging requires a paired and active Device with a clear view of the sky to obtain a satellite connection. Indoor use, caves, dense canopy, or locations where the sky is not visible may prevent satellite connectivity. Vehicle speed may also affect satellite connection reliability.
11.3 Battery and Power
For products that include a standalone battery-powered device (such as the weBoost® Messenger Device), you are responsible for ensuring the device is adequately charged before use. weBoost® is not liable for any failure of the Services resulting from insufficient power supply.
12. Emergency SOS
12.1 SOS Service
The weBoost® Messenger App includes an emergency SOS feature that, when activated, sends an emergency alert with your location to FocusPoint International"s Emergency Response Center ("ERC"). The ERC provides SOS monitoring twenty-four (24) hours a day, seven (7) days a week, and 365 days a year. Upon receipt of your SOS, the ERC will attempt to coordinate with local search and rescue services and other emergency responders on your behalf. SOS messages and two-way communication with the ERC are unlimited with an active Bundle (no credit consumption).
12.2 SOS Service Availability
weBoost® intends that the SOS Emergency Service will be available at all times in all locations where the weBoost® Messenger Product operates; however, the SOS Emergency Service may become limited or temporarily unavailable without notice due to factors including satellite network conditions, Communication System limitations, or other circumstances beyond the control of weBoost® and its emergency response partners. It is possible that at certain times or locations, the Emergency Response Center may not receive your SOS transmission, or that your transmission may be delayed. The emergency responder(s) contacted by the ERC shall determine, in their sole discretion, when, how, and whether to conduct a search and rescue operation in accordance with their standard policies and procedures, subject to operational limitations, available resources, meteorological conditions, and safety concerns.
12.3 Emergency Contact Notification
You may designate up to three (3) emergency contacts within the App. In the event of an SOS activation, the ERC — not weBoost® — will determine if, when, and how to contact your designated emergency contacts based on their assessment of the situation and in accordance with their standard emergency response procedures. weBoost® does not guarantee that your emergency contacts will be notified, nor does weBoost® control the timing or manner of any such notification. Designation of emergency contacts does not create any obligation on the part of weBoost® to contact those individuals directly.
12.4 Data Disclosure for Rescue
By activating the SOS Emergency Service, you consent to weBoost® sharing your personal information — including your name, location coordinates, altitude, account profile information, and emergency contact details — with FocusPoint International, local search and rescue services, law enforcement, and other emergency responders as necessary to coordinate your rescue. weBoost® may also disclose such information to competent legal authorities in connection with your use of the SOS Emergency Service. This disclosure is made solely for the purpose of facilitating emergency response and does not alter the terms of the weBoost® Privacy Policy with respect to non-emergency use of the Services.
12.5 SOS Misuse
The SOS Emergency Service is intended exclusively for genuine emergency or distress situations. Deliberate or negligent misuse of the SOS feature — including but not limited to activating the SOS Emergency Service outside of the App"s designated test mode to test the feature, knowingly triggering SOS when no emergency or distress situation exists, or repeated false alarms — is prohibited. In the event of deliberate or negligent misuse, weBoost® reserves the right to charge your payment method on file for the actual emergency response coordination costs incurred, plus a reasonable administrative fee. Repeated misuse of the SOS Emergency Service may result in suspension or termination of your Service.
12.6 SOS Disclaimer
THE WEBOOST® MESSENGER SOS FEATURE IS NOT A SUBSTITUTE FOR 911 OR LOCAL EMERGENCY SERVICES. SOS messages are coordinated through FocusPoint International"s Emergency Response Center, who will contact local authorities on your behalf. Message delivery is not guaranteed and depends on satellite network availability and other factors described in this Agreement. Always carry backup emergency communication devices and inform someone of your travel plans before heading into remote areas.
12.7 SOS and Bundle Requirements
An active Bundle is required to use the SOS feature. If your Bundle has expired, SOS functionality is suspended even if you have frozen credits remaining. Purchase a new Bundle to restore SOS access.
13. REPRESENTATIONS, WARRANTIES, AND LIMITATIONS OF LIABILITY
13.1 AS-IS SERVICE
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SERVICE, THE WEBOOST® MESSENGER PRODUCT, AND ANY ASSOCIATED SOFTWARE IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, THE WEBOOST® MESSENGER PRODUCT, AND ANY ASSOCIATED SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND ALL OTHER WARRANTIES, REPRESENTATIONS, AND CONDITIONS (EXPRESS, IMPLIED, OR STATUTORY) ARE HEREBY DISCLAIMED, INCLUDING BUT NOT LIMITED TO: (i) IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE; (ii) THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; (iii) THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE; OR (iv) THAT DEFECTS WILL BE CORRECTED.
13.2 LIMITATION OF LIABILITY
IN NO EVENT SHALL WEBOOST® OR ANY OF ITS THIRD-PARTY SERVICE PROVIDERS, OR THEIR RESPECTIVE EMPLOYEES, DIRECTORS, OFFICERS, AGENTS, OR SUPPLIERS, HAVE ANY LIABILITY TO YOU FOR INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, RELIANCE, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PROVISION OF THE WEBOOST® MESSENGER PRODUCT OR THE SERVICES. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF WEBOOST® FOR ALL CLAIMS ARISING OUT OF THIS AGREEMENT EXCEED THE AMOUNT OF FEES PAID BY YOU TO WEBOOST® IN THE TWELVE (12) MONTHS PRECEDING ANY CLAIM.
13.3 NO GUARANTEE OF DELIVERY
WEBOOST® DOES NOT GUARANTEE THAT ANY MESSAGE WILL BE DELIVERED SUCCESSFULLY OR IN A TIMELY MANNER. MESSAGE DELIVERY DEPENDS ON NETWORK AVAILABILITY, THIRD-PARTY SERVICE PROVIDERS, RECIPIENT DEVICE STATUS, AND OTHER FACTORS BEYOND WEBOOST®"S CONTROL. WEBOOST® SHALL NOT BE LIABLE FOR ANY DAMAGES RESULTING FROM FAILED, DELAYED, OR UNDELIVERED MESSAGES.
14. INDEMNIFICATION
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS WEBOOST® AND ITS AFFILIATES, LICENSORS, THIRD-PARTY SERVICE PROVIDERS, AND SUPPLIERS AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY AND ALL CLAIMS, ACTIONS, LOSSES, LIABILITIES, DAMAGES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEY"S FEES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBOOST® MESSENGER PRODUCT AND THE SERVICES.
15. INTELLECTUAL PROPERTY
weBoost®, and related trademarks, names, and logos are the property of Wilson Electronics, LLC and its affiliates. The weBoost® Messenger Product and associated software and data are protected by copyright, international treaties, and various patents. All rights reserved.
16. Export Restrictions
You may not use or export the weBoost® Messenger Product in violation of U.S. export control laws. The Product may not be used in any U.S. embargoed countries or by individuals on restricted parties lists maintained by the U.S. Treasury Department, Commerce Department, or State Department. By using the Product, you represent and warrant that you are not located in any such country or on any such list.
17. Age Requirement
You must be at least 18 years of age to create a weBoost® Messenger account, purchase Bundles, or use the Services. By creating an account, you represent and warrant that you are at least 18 years old. If weBoost® discovers that an account has been created by a person under the age of 18, weBoost® reserves the right to terminate that account immediately.
18. Dispute Resolution
Any disputes arising from this Agreement shall be resolved in accordance with weBoost®"s dispute resolution procedures. Details regarding dispute resolution, including any applicable arbitration provisions and class action waiver, will be made available at www.weboost.com prior to the commercial launch of the Service. By continuing to use the Service after such procedures are published, you agree to be bound by them.
19. General Provisions
19.1 Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof.
19.2 No Waiver
The failure of weBoost® to exercise any right under this Agreement shall not constitute a waiver of such right.
19.3 Severability
If any provision of this Agreement is determined to be invalid or unenforceable, such invalidity shall not affect the remaining terms.
19.4 Assignment
You may not assign this Agreement, but weBoost® may assign it freely. This Agreement binds and inures to the benefit of each party"s successors and assigns.
19.5 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without giving effect to conflict of laws provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Washington County, Utah.
